Terms of Service

By accessing or using the services provided by Varnilix Private Limited ("Varnilix", "we", "us", or "our"), including our website, IoT devices, cloud platform, and mobile applications, you agree to be bound by these Terms of Service.

Varnilix is a DPIIT-recognized startup (Recognition Number: DIPP241245) incorporated under the laws of India with CIN: U62010PN2025PTC241891.

Varnilix provides:

• Industrial IoT hardware for power quality monitoring
• Cloud-based analytics and dashboard platform
• Mobile applications for remote monitoring
• Web applications and APIs
• Business messaging services, including through the WhatsApp Business Platform
• Installation and commissioning services
• Maintenance, customer support, and related services

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Not attempt to reverse engineer or tamper with our hardware or software
• Ensure proper electrical installation by qualified personnel
• Comply with all applicable laws and regulations

When using our services, you must not:

• Use our services for unlawful purposes
• Attempt to gain unauthorized access to our systems
• Interfere with the security or availability of our services
• Upload malicious code or malware
• Impersonate another person or organization
• Use our messaging services to send spam, fraudulent, or abusive communications

Certain services are provided through third-party platforms, including Meta's WhatsApp Business Platform. Your use of those services is also subject to the applicable terms and policies of those third-party providers.

By communicating with us through WhatsApp, you acknowledge that your interactions are also subject to Meta's applicable terms and policies. These Terms govern only the services provided by Varnilix and do not modify Meta's terms.

If you are issued account credentials to access our cloud platform or dashboard, you are responsible for maintaining the confidentiality of those credentials and for all activity occurring under your account. Notify us immediately at info@varnilix.com of any unauthorized use of your account.

All intellectual property rights in our products, services, website, and documentation are owned by Varnilix Private Limited. This includes but is not limited to:

• Hardware designs and PCB layouts
• Firmware and embedded software
• Cloud platform and algorithms
• Trademarks, logos, and branding
• Documentation and training materials

You are granted a limited, non-exclusive license to use our products and services for their intended purpose. No ownership or other intellectual property rights are transferred to you.

Our IoT devices must be installed by qualified electrical personnel in accordance with:

• Indian Electricity Rules, 2005
• IS/IEC standards for industrial electrical installations
• Local electrical safety codes and regulations
• Our installation guidelines and safety instructions

Varnilix is not liable for damages arising from improper installation, unauthorized modifications, or use in environments beyond specified operating conditions.

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and processing of data as described in our Privacy Policy.

Operational data collected from our devices may be used to improve our products and services, generate anonymized insights, and provide predictive analytics.

While we strive to maintain high availability of our cloud platform and services, we do not guarantee uninterrupted access. We may perform scheduled maintenance with prior notice when possible.

Our edge devices are designed to operate independently during network outages, ensuring continuous local operation and data buffering.

The warranty applicable to hardware products is described in the accompanying product documentation or separate warranty statement, and covers defects in materials and workmanship under normal use.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARNILIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or our services shall not exceed the amounts paid by you for the specific product or service giving rise to the claim. Nothing in these Terms limits liability where such limitation is prohibited under applicable law.

You agree to indemnify and hold harmless Varnilix, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your misuse of our products or services
• Improper installation or maintenance
• Your violation of any applicable laws

We may suspend or terminate your access to our services if:

• These Terms are violated
• Required by law
• Necessary to protect our services, users, or infrastructure
• Fraudulent or abusive activity is detected

Upon termination, your right to use our services ceases. Provisions that by their nature should survive termination shall remain in effect.

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, war, labor disputes, power outages, internet failures, or similar events.

Users agree to comply with all applicable export control and trade laws in connection with their use of our hardware and software.

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

These Terms, together with the Privacy Policy and any additional agreements applicable to specific products or services, constitute the entire agreement between you and Varnilix regarding the use of our services.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure by Varnilix to enforce any provision of these Terms shall not constitute a waiver of that provision.

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified Terms.
